These Terms & Conditions (“Terms”) govern your access to and use of the Hotel Upsell Bid System (“the System”) operated by PlanB Co., Ltd. (“we”, “us”, “our”). By accessing or using the System, you agree to be bound by these Terms.

1. Entity Details & Eligibility

  • Operating Entity: PlanB Co., Ltd., registered and operating under the laws of Thailand.

  • Service: Hotel Upsell Bid System (providing room upgrade bidding and guest upsell management).

  • Eligibility: You must be at least 20 years old (the legal age of majority under the Thai Civil and Commercial Code) or have valid parental/legal guardian consent if aged 18–19. The System is intended for commercial and hotel management use.

2. Account Registration & Responsibilities

  • Account Setup: You must provide accurate and complete information when registering an account.

  • Security: You are solely responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

  • Prohibited Conduct: You agree not to misuse the System, bypass security controls, upload malicious code, or engage in fraudulent bidding activities.

3. Upgrades, Bidding & Payments

  • Bidding & Upsells: The System facilitates room upgrade bidding between guests and participating hotel properties. All accepted bids are subject to hotel availability and specific booking conditions.

  • Fees & Currency: All transactions are processed in Thai Baht (THB) or designated supported currencies, inclusive of applicable Thai Value Added Tax (VAT) where required by law.

  • Refunds: Fees paid for system subscriptions or completed upgrades are non-refundable except where required by Thai law or explicitly agreed upon in writing.

4. Intellectual Property

All rights, title, and interest in and to the Hotel Upsell Bid System (including software, algorithms, UI design, trademarks, and branding) are owned exclusively by PlanB Co., Ltd.. You receive a limited, non-exclusive, non-transferable license to use the platform solely for internal business operations.

5. Service Availability & Modification

We strive to maintain continuous uptime, but the System may be temporarily unavailable for maintenance, updates, or technical reasons. We reserve the right to modify or discontinue features at any time with reasonable notice.

6. Limitation of Liability & Disclaimers

(Compliant with the Unfair Contract Terms Act B.E. 2540 of Thailand)

  • “As-Is” Basis: The System is provided “as is” and “as available”.

  • Liability Cap: To the maximum extent permitted under Thai law, PlanB Co., Ltd. shall not be liable for indirect, incidental, or consequential damages (including lost profits or lost bookings). Our total liability for any claim arising out of these Terms shall not exceed the amount paid by you to use the System in the 12 months preceding the claim.

7. Termination

We reserve the right to suspend or terminate your access to the System immediately if you breach these Terms, engage in illegal activity, or fail to pay applicable fees. You may terminate your account at any time by contacting support.

8. Governing Law & Dispute Resolution

  • Governing Law: These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand.

  • Jurisdiction: Any legal action, dispute, or proceeding arising out of or relating to these Terms or the System shall be subject to the exclusive jurisdiction of the competent Courts of Thailand.
